Commercial principles

Partnership structures should match the risk, effort, upside, and control on each side. The default assumption is paid work. Alternative structures can be discussed only when the opportunity is specific, the partner contribution is material, and the path to value is clear.

  • Cash-first unless there is a strong reason to structure otherwise.
  • Equity, revenue share, or success-based upside requires legal and commercial review.
  • Proof Engine does not guarantee fundraising, revenue, investment outcomes, or portfolio performance.
  • Each partner engagement needs a written scope, decision rights, confidentiality terms, and ownership model.

When partnership is probably not the right path

Partnership is a poor fit when the shape of the opportunity is still vague. It is probably not the right path when:

  • There is no specific opportunity, market, portfolio need, or client demand.
  • The partner mainly wants unpaid work in exchange for vague future upside.
  • Decision rights, ownership, or commercial incentives are unclear.
  • The request depends on Proof Engine acting like a fund, broker, or guaranteed sales channel.
